Terms of Service

1. Definitions

• “Service” refers to the TokCaption web application, API, and all related features.
• “You” / “User” means any individual or entity that accesses or uses the Service.
• “Content” means any data you submit, including URLs, transcript text, and AI Agent outputs.
• “We” / “Us” refers to TokCaption and its operators.

2. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 16 years old to use the Service.

We reserve the right to suspend or terminate accounts that violate these terms or are used for abusive purposes.

3. Acceptable Use

You agree not to:

• Submit content that infringes third-party intellectual property rights or violates any applicable law
• Use the Service to scrape, harvest, or collect data from TikTok or any other platform in violation of their terms of service
• Attempt to reverse-engineer, decompile, or extract source code from the Service
• Use automated means (bots, crawlers) to access the Service beyond the provided API
• Resell, sublicense, or redistribute the Service without written permission
• Interfere with or disrupt the Service, servers, or networks
• Submit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

You are solely responsible for ensuring you have the rights to process submitted content and that your usage complies with applicable laws and platform terms.

4. Subscriptions & Billing

4.1 Free Plan

The free plan provides limited daily transcript extractions and basic export options. AI Agents, batch import, and API access are not available on the free plan.

4.2 Paid Plans

Paid plans (Monthly and Annual) are billed in advance at the selected interval. Prices are in USD. Payment is processed by Stripe. You authorize us to charge the payment method on file for recurring fees.

4.3 Usage Limits

Each plan includes specific limits for transcripts, AI Agent runs, Niche Spy analyses, and batch import size. Limits reset according to your billing cycle. Exceeding limits may result in temporary restrictions until the next reset.

4.4 Cancellation & Refunds

You may cancel your subscription at any time from the Billing page or Stripe customer portal. Cancellation takes effect at the end of the current billing period — you retain access until then. We do not provide prorated refunds for partial billing periods.

4.5 Price Changes

We may change pricing with at least 30 days' notice via email. Existing subscribers will be notified before any price increase applies to their next billing cycle.

5. Intellectual Property

5.1 Your Content

You retain ownership of the URLs you submit and any original content you create. By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service.

5.2 AI-Generated Outputs

Outputs generated by AI Agents (hooks, scripts, analysis) are provided for your use. You may use these outputs commercially. However, we make no guarantees regarding the originality, accuracy, or legal compliance of AI-generated content. You are responsible for reviewing outputs before use.

5.3 Our Property

The Service, its design, code, brand, and documentation are our intellectual property. Nothing in these terms grants you rights to our trademarks, logos, or proprietary technology.

6. API Terms

API access is available on paid plans. You must authenticate with a valid API key. Rate limits apply and are documented at /docs. Abuse of the API (excessive requests, credential sharing, scraping) may result in key revocation and account suspension.

API keys are secrets. You are responsible for securing them. Do not embed keys in client-side code or public repositories.

7. Service Availability

We aim for high availability but do not guarantee uninterrupted operation. The Service may experience downtime for maintenance, upgrades, or unforeseen issues. We will make reasonable efforts to notify users of planned maintenance in advance.

Features, limits, and pricing may evolve over time. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee the accuracy of transcriptions, AI analysis, or any generated content. Transcript extraction relies on third-party platform data which may change without notice.

9. Limitation of Liability

To the maximum extent permitted by law, TokCaption and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising from your use of the Service.

Our total liability for any claim related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

10. Indemnification

You agree to indemnify and hold harmless TokCaption, its operators, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your content, or your violation of these terms.

11. Termination

You may close your account at any time by contacting support. We may suspend or terminate your account if you violate these terms, engage in abusive behavior, or fail to pay applicable fees.

Upon termination, your right to use the Service ceases immediately. Your data will be deleted in accordance with our Privacy Policy.

12. Governing Law & Disputes

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

Before filing a formal dispute, you agree to contact us and attempt to resolve the matter informally within 30 days.

13. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated via email or an in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
